1. Agreement to Terms

By accessing or using Ekstronomy's services, you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access our services.

2. Services Description

Ekstronomy provides IT consulting, software development, cloud solutions, and related technology services. The specific services, deliverables, and terms will be outlined in individual service agreements or statements of work.

3. Use of Services

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code or interfere with our services
• Attempt unauthorized access to our systems
• Use our services for any fraudulent or harmful purpose

4. Intellectual Property

Ownership

Unless otherwise specified in writing, all intellectual property rights in deliverables created by Ekstronomy shall belong to the client upon full payment. Ekstronomy retains the right to use general knowledge, skills, and experience gained during the engagement.

License

Ekstronomy grants you a limited, non-exclusive license to use our proprietary tools and methodologies solely in connection with the services provided.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation survives the termination of these Terms.

6. Payment Terms

• Payment terms will be specified in individual service agreements
• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges
• All fees are non-refundable unless otherwise stated

7. Warranties and Disclaimers

Ekstronomy warrants that services will be performed in a professional and workmanlike manner. However, we do not guarantee specific results or outcomes.

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKSTRONOMY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

9. Indemnification

You agree to indemnify and hold Ekstronomy harmless from any claims, damages, or expenses arising from your breach of these Terms or misuse of our services.

10. Termination

Either party may terminate services upon written notice as specified in individual service agreements. Upon termination, all outstanding fees become immediately due and payable.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, or government actions.

12. Governing Law

These Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Santa Clara County, California.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any individual service agreements, constitute the entire agreement between you and Ekstronomy regarding our services.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified through our website or direct communication. Continued use of our services constitutes acceptance of modified terms.
